"Ryan's Red Carpet Challenge" Official Contest Rules

ELIGIBILITY: "Ryan's Red Carpet Challenge" ("Contest") is open to all English-speaking persons who are legal residents of the 50 United States including the District of Columbia and Canada (excluding Quebec), who are 21 years of age or older as of July 15, 2008, and who have Internet access prior to the Contest start date and thereafter throughout the Contest period. This Contest is void in Puerto Rico, the U.S. Virgin Islands, U.S. Military installations in foreign countries, all other U.S. territories and possessions, and wherever else restricted or prohibited by law. This Contest is sponsored by E! Entertainment Television, Inc. ("E!"), 5482 Wilshire Blvd., Unit 135, Los Angeles, CA 90036 and Macy's Inc.. Employees, shareholders, officers, directors, agents, representatives of E!, Macy's Inc., the legal, promotion and advertising agencies of the aforementioned entities, and any other Contest sponsor that may be announced or otherwise added as a sponsor to the Contest at any time (collectively, "Sponsors"), and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, promotion partners and or any entity involved in the development, production, implementation, or administration of the Contest, and their immediate family members (e.g., spouse, mother, father, sister, brother, uncle, aunt, nephew, niece, grandparent, in-law, daughter or son, regardless of where they live) and persons living in the same household (whether or not related), and each person or entity connected with the production or administration of the Contest, and each parent company, affiliate, subsidiary, agent and representative of any aforementioned entity are not eligible to enter. Sponsors shall have the right to determine eligibility in their sole discretion.
Contest is subject to these official rules, which can be found at http://www.eonline.com/sponsor/redcarpetchallenge/index2.jsp, and also may be requested by mail ("Official Rules") as explained in the section of these Official Rules entitled "Privacy."
HOW TO ENTER: Make your own live-action video ("Video") according to the Submission Guidelines (as defined and set forth below). Your Video can be as creative as you like within the Submission Guidelines. Once you have created your Video masterpiece, you may enter one of two ways:
(1) Mail Method: Click on the Contest link at http://www.eonline.com. Then, click on the "Mail-In Entry" button to download and print out the "Contest Entry Form" for mail-in submissions. Fill out the Contest Entry Form completely and accurately, sign and date, and send your Video in VHS, or in digital format on a CD or DVD only, accompanied by the printed and signed Contest Entry Form and photocopies of at least one (1) form of valid identification issued by a governmental agency or entity (such as state ID card, driver's license or passport) that includes your photograph, date of birth and the expiration date of the identification to: Ryan's Red Carpet Challenge, E! Networks, 5482 Wilshire Blvd., Unit 135, Los Angeles, CA 90036. The Contest Entry Form and Video submitted by mail are collectively referred to as the "Mail-In Submission." Mail-In Submissions may be submitted beginning July 15, 2008, and must be postmarked no later than August 15, 2008 and received no later than 5:00 PM Pacific Time ("PT") on August 22, 2008. Hand deliveries will not be accepted. DO NOT USE FED EX OR ANY OTHER CARRIER THAT MAY NOT DELIVER TO A PRIVATE MAIL BOX AND/OR UNIT. Any Mail-In Submission(s) sent return receipt requested will not be accepted. Any Mail-In Submission(s) not submitted in accordance with these Official Rules or that are mutilated or tampered with are void. Videos submitted by U.S. mail must be accompanied by an original completed Contest Entry Form. If you are entering by mail, your Contest Entry Form may not be sent separately from your Video. The Contest Entry Form for Mail-In Submissions is available at http://www.eonline.com/static/sponsor/redcarpetchallenge/includes/html/RRCC(Emmys)-Mail-InEntryFormv1.doc and includes the following agreements, each of which must be filled out completely: (a) an entry form and entrant agreement, to be completed and signed by you; (b) as necessary, a participant agreement, to be completed and signed by each person other than you appearing in the Video; and (c) a videographer agreement, to be completed and signed by the person(s) who filmed, produced, and/or edited the Video.
(2) Online Method: Click on the Contest link at http://www.eonline.com. Then, click on the "Online Entry" button to be directed to the online entry form where you must enter your name, address, date of birth, phone number and e-mail address. Then, follow the on-screen instructions to upload your Video online ("Online Submission"). Uploaded Videos may be submitted beginning on July 15, 2008 at 4:00 p.m. PT and must be uploaded no later than August 15, 2008, at 11:59:59 PM PT, according to E!'s electronic time stamp. After uploading your Video, you will be assigned a unique Contest entry number. Write this number down and comply with the following directions to mail your confirmation of on-line submission. To confirm your on-line submission, click on the "Print Entry Form" button to download and print out the "Contest Entry Form" for Online Submissions as used to submit your Video on-line. Write your entry number in the space provided on the Contest Entry Form. Then, fill out the remainder of the Contest Entry Form completely and accurately, sign and date, and send your Contest Entry Form and a photocopy of at least one (1) form of valid identification issued by a governmental agency or entity (such as state ID card, driver's license or passport) that includes your photograph, date of birth and the expiration date of the identification to: Ryan's Red Carpet Challenge, E! If you upload your Video at the E! Online website but do not fill out and mail a completed Contest Entry Form to the address above, your Video will not be entered into the Contest.
All timely-received Online Submissions and Mail-In Submissions (each, a "Contest Submission" and collectively, the "Contest Submissions") that are complete, meet the Submission Guidelines below, and otherwise meet the eligibility requirements set forth in these Official Rules ("Qualified Submissions") will be judged in accordance with the judging criteria set forth below.
NO CONTEST SUBMISSIONS WILL BE ACKNOWLEDGED OR RETURNED AND, IN FACT, MAY BE DESTROYED. DO NOT SUMBIT FOR CONSIDERATION ANY IRREPLACEABLE OR ONE-OF-A-KIND VIDEO.
ANY CONTEST SUBMISSION (OR ANY PORTION THEREOF) THAT DOES NOT CONFORM TO THE FOREGOING REQUIREMENTS WILL BE DEEMED INELIGIBLE.
SUBMISSION GUIDELINES:
Online Video Formats: Videos submitted online must be in a format that is compatible with E!'s upload capability. Video files must be 100 MB or smaller and in .mov (QuickTime), .mpg (MPEG), .mp4 (MPEG-4), .asf/.wmv (Windows Media) or .avi (AVI) file format.
Mail-In Video Formats: Send your Video in VHS or in digital format on a CD or DVD only.
Length and Content: Your Video may be as short as thirty (30) seconds (minimum), but no longer than two (2) minutes in length. Your Video must capture you conducting an interview in an interviewer/interviewee style AND MUST CLEARLY SHOW AT LEAST your face. Your Video must not depict: any nudity, recognizable branded products, artwork, animals, harmful or illegal activity or substances, or any obscene subject matter. Your Video submitted as part of your Contest Submission must contain no singing, playing of any musical instrument or any performance that has been broadcast, published or televised on television or via any other media or as part of a recording of a motion picture film, music performance or television program. If, in the sole discretion of Sponsors, your Video constitutes copyright infringement, the Video will be disqualified. Sponsors are not responsible for receipt of incomplete, garbled, misdirected, or otherwise unintelligible or incompatible Contest Submissions.
All entries must be original works of authorship. You may not be, nor may you use parties who: 1) are represented under contract (e.g., by a talent agent or manager) that would limit or impair Sponsors' ability to show the video in any media or form; 2) have an acting or modeling contract that would make their appearance in the Contest Submission or on the red carpet a violation of any third party rights; 3) are under a merchandising agreement; or 4) are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit them from participating fully in this Contest, or from allowing Sponsors to use royalty-free, the Contest Submission worldwide in all media now known or hereafter devised throughout the universe in perpetuity. You agree to indemnify Sponsors against any and all claims of infringement from any third party for any use by Sponsors of the Contest Submissions. Any image used in the Video must be an original work of authorship under U.S. Copyright Law.
JUDGING: Beginning on or about August 18, 2008 and continuing through and including August 29, 2008, Qualified Submissions will be reviewed and scored by Sponsors' qualified judges, according to the following criteria: Interview Technique (25 points), Creativity (25 points), Originality (25 points), and Humor (25 points).
The contest entrant with the most votes tallied will be the selected contestant for the Grand Prize ("Selected Contestant"). E! will announce the Grand Prize winner during the Event (defined below) on Sunday, September 21, 2008.
E! will endeavor to notify Selected Contestant by mail, e-mail and/or telephone beginning the week of September 7, 2008. The Selected Contestant must provide Sponsors with all signatures on all required paperwork (including but not limited to separate background check authorization forms) and return all original signed documents in a timely manner as required pursuant to these Official Rules in order to be eligible to receive the Grand Prize. A potential winner may not be eligible to receive a Grand Prize, unless Sponsor has obtained satisfactory results (as determined by Sponsor in Sponsor's sole discretion) from a background investigation. Such consent forms and general releases may include, without limitation: (a) a statement that the Contest Submission submitted is the exclusive property of the Selected Contestant; and (b) a statement that the Selected Contestant releases, discharges and holds harmless Sponsors, their respective parent companies, subsidiaries and affiliated and related persons and entities, licensees, successors and assigns and their respective officers, directors, employees, agents and representatives from any and all losses, damages, claims, liabilities or expenses of any kind or nature, in connection with the Contest Submission and the use of such Contest Submission by Sponsors. In the event of Sponsors' inability to contact the Selected Contestant, the Selected Contestant may be disqualified and an alternate Contest entrant may be selected instead. Should any Contest entrant be unwilling or otherwise unable to agree to the terms and conditions of these Official Rules, or provide permissions and or releases or otherwise cannot accept or receive the Grand Prize for any reason, the Contest entrant with the next highest score will be chosen from the remaining Contest entrants until a Contest entrant whose Contest Submission is able to meet all requirements can be selected. Selected Contestant may appear in any E!-related properties, in E!'s sole and absolute discretion. E! is under no obligation to choose any Selected Contestant to appear on-air in any program and E! may use an entirely different method from the Contest in choosing a person to appear on-air in E!'s sole discretion. The decisions of E! shall be final and non-appealable in all matters.
PRIZE: One (1) Grand Prize recipient will receive a trip for two to Los Angeles, California (the "City") which includes: (a) an appearance during E!'s Countdown to Live From The Red Carpet®: 60th Annual Primetime Emmy® Awards (the "Event") to occur in E!'s sole and absolute discretion, (b) round-trip coach air transportation for two (2) between a Sponsor-selected major metropolitan airport near winner's residence and a Sponsor-selected major airport in or near the City, standard hotel accommodations (one room/double occupancy, room rate and tax only) for three (3) nights, ground transportation to/from the airport and hotel, ground transportation to/from the Event and any other meetings, fittings or activities, One Thousand Dollars ($1,000.00) (USD) spending money (for the winner only). Approximate retail value ("ARV") totals Five Thousand Four Hundred Dollars ($5,400.00) (USD) or Five Thousand Four Hundred Ninety-Eight Dollars and Eight-Four Cents ($5,498.84) (CAD). Actual value of the Grand Prize may depend on location of winner, fares at the time of travel, currency exchange rates and the value of services rendered. Therefore, the value of the Grand Prize awarded may be lower or higher at the time it is fulfilled. Grand Prize winner must be able to travel between September 19, 2008 and September 22, 2008. The Selected Contestant cannot assign or transfer the Grand Prize to another person. No prize substitution is allowed except at the sole and absolute discretion of Sponsors. If the Grand Prize cannot be awarded due to circumstances beyond the control of Sponsors, a substitute prize of equal or greater retail value may be awarded. The Grand Prize will be awarded, subject to the limitations stated in these Official Rules.
CONDITIONS: Contest is subject to these Official Rules. By participating, entrants agree: (i) to be bound by these complete Official Rules and the decisions of Sponsors which shall be final and binding; and (ii) to waive any right to claim ambiguity in the Contest and/or these Official Rules, except where prohibited by law. By accepting the Grand Prize, Selected Contestant agrees to release Sponsors, including Sponsors' parents, subsidiaries and affiliated entities together with their respective directors, employees, officers, licensees, licensors and agents, and respective advertising and promotion entities and any person or entity associated with the production, judging, or administration of the Contest, (collectively, the "Releasees") from any and all liability, loss or damage arising from or in connection with awarding, receipt and/or use or misuse of any prize or participation in any prize-related activities. Sponsors reserve the right to cancel or suspend the Contest, in Sponsors' sole discretion, should Sponsors receive fewer than ten (10) Qualified Submissions, or receive no Contest Submissions that have a judged score above seventy five (75) points, or due to circumstances beyond Sponsors' control, including natural disasters. Sponsors may, in Sponsors' sole discretion, cancel, modify or suspend the Contest should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsors' control, corrupt the administration, security or proper play of the Contest, or by any force majeure, any actions, regulations, orders, or requests by any governmental or quasi-governmental entity, equipment failure, including overloading of a website due to excessive uploads, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond Sponsors' sole and reasonable control. Contest Submissions will not be returned and may be destroyed. Sponsors may prohibit an entrant from participating in the Contest or winning the Grand Prize if, in Sponsors' sole discretion, Sponsors determine such entrant is attempting to undermine the legitimate operation of the Contest by cheating, including ballot-stuffing, deception, or any other unfair playing practices or intending to annoy, abuse, threaten, undermine or harass any other entrants, users or Sponsors' representatives. CAUTION: ANY ATTEMPT BY AN INDIVIDUAL OR ANY OTHER PERSON TO DAMAGE OR UNDERMINE THE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, E! RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND/OR DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. By entering the Contest, each entrant hereby agrees to submit generally and unconditionally to the personal and exclusive jurisdiction and venue of a court of competent jurisdiction located in the City of Los Angeles, Los Angeles County, California.
Sponsors have no obligation to notify any entrant of receipt of the Contest Submission or whether the Contest Submission will be used in any E!-related properties, including, without limitation, possible broadcast in any medium now known or hereafter devised throughout the world in perpetuity for any and all purposes in E!'s sole and absolute discretion. No entrant or entity shall be entitled to any compensation of any kind or nature whatsoever in connection with any Contest Submission or the use of such Contest Submission by Sponsors. By sending a Contest Submission to E!, you represent, warrant and agree that: (i) Contest Submission will not be returned to you and will become the property of E!; (ii) Contest Submission is solely the original work of you or the photographer or videographer or other participants who are assigning all rights in the Contest Submission to E!; (iii) neither the Contest Submission nor any part thereof nor the exercise by Sponsors of any rights therein will violate or infringe upon the trademark, trade name, copyright, right of privacy or publicity, property rights or any other rights of any person or entity; (iv) no third party has or will have any rights in or to the Contest Submission; and (v) all of your respective rights, title and interests in and to the Contest Submission is transferred and conveyed to E!, to the maximum extent permitted by applicable law, so that E! will be the sole owner of all copyrights and other rights therein. Nothing in these Submission Guidelines shall require E! to use the Contest Submission in part or in whole or to include the Contest Submission in any E!-related property, including, without limitation, any E! television program. Nothing in these Submission Guidelines shall prevent, restrict or otherwise impair E! from using the Contest Submission or portions thereof at any time in the future. E! shall have full right and power to edit, translate, dub or alter, separate, mix, combine with other material, reuse and adapt any or all portions or elements of the Contest Submission in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose in E!'s sole and absolute discretion.
By submitting a Contest Submission to E!, you agree to be bound by all Submission Guidelines and grant to Sponsors the right to use in perpetuity your and all other participants' names, likenesses, personas, photographs, videos, voices, biographical and other information, and the Contest Submission, without notice to you or any other participants and without compensation or obligation, in any and all media now or hereafter known throughout the world, by any and all manners and methods, and for any and all purposes or programs, now known or hereafter devised, including but not limited to broadcast television, non-broadcast television, pay, cable and network television, satellite and closed-circuit transmission, in-flight video, home entertainment (including home video, DVD, CD-ROM in current and future formats, and online services, both commercial and inter networks), wireless, podcasting, Internet, linear, digital and interactive formats, and printed transcripts, and to advertise and promote Sponsors, their respective products and services, the Contest, and for any other purpose in E!'s sole and absolute discretion.
By submitting a Contest Submission to E!, you and/or the owner of your residence (the "Residence") hereby grants permission to E! the right of use and access of the Residence or any part thereof to film, videotape, photograph or otherwise depict the Residence or any part thereof in any and all E!-related properties, including, without limitation, possible broadcast on television and/or via any other media now known or hereafter devised throughout the world in any manner whatsoever and for any other purpose in E!'s sole and absolute discretion.
PUBLICITY: Sponsors reserve the right to use the Contest Submission for publicity purposes prior to, during, or after the Contest end date, in any media, and to use the names, likenesses, and/or hometown names, of any Contest entrants and/or participants, including all or part of their Contest Submission throughout the world, in perpetuity, without any compensation or prior review unless specifically prohibited by law. Taxes, if any, are the sole responsibility of Selected Contestant, and Selected Contestant may be issued an IRS Form 1099 for the ARV of any awarded prize. This Contest is void outside the US and where prohibited or restricted by law, and subject to applicable federal, state, provincial and local laws. Sponsors reserve the right to disqualify any entrant that Sponsor finds to be tampering with the entry process or the operation of the Contest or violating these Official Rules.
PRIVACY: All personal information collected by E! will be used for administration of the Contest and in accordance with E!'s privacy policy. Entrants may be sent promotional material related to E!'s other entertainment options. Any questions regarding privacy matters should be directed to the address set out below. Please refer to E!'s privacy policy located at URL http://www.eonline.com/about/privacy/index.jsp for important information regarding the collection, use and disclosure of personal information by E!.
OFFICIAL RULES and WINNERS LIST: The Grand Prize Winner will be posted on the eonline.com website roughly three (3) weeks after the Contest end date. For a copy of these Official Rules, send your request in a self-addressed, stamped envelope (WA and VT residents need not affix return postage) to: RYAN'S RED CARPET CHALLENGE Official Rules, E! Entertainment Television, Inc., 5482 Wilshire Blvd, Unit 135, Los Angeles, CA 90036. Requests must be received no later than December 31, 2008.
E! is solely responsible for the administration of the Contest and fulfillment of the Grand Prize.
